If an Old Schooler still likes to cite ERA, I get that. But I don't get still thinking W-L record is a big deal. If W-L record really matters to you, you must think it's absolutely insane how much more money Nola got than Wacha did.

An official offer is an official signed-off legal document much like an offer to buy a house, right? It's binding, and if the other side signs too, it's a deal, pending the inspection etc.
Bauer has multiple incidents on his resume, on and off the field - none of them illegal, but in sum he just seems like a guy who's way more trouble than he's worth. And his skills may not be there any more either.
But the Red Sox can't sign any of these guys.
